Terms of Service

These terms govern your use of AdvisoryMemo ("we", "us") at advisorymemo.com. Creating an account means you accept them.
What the service does
AdvisoryMemo reads monthly financial figures — from a connected QuickBooks Online company or entered by hand — and produces a draft written memo describing what changed and what it may mean.
It produces a draft. You review, edit, and decide whether to send it. Nothing is delivered to your clients by us.
Not financial, tax, or legal advice
AdvisoryMemo is software, not an accountant, and we are not your clients' advisor. Memos are drafting assistance for a licensed professional, not professional advice on their own.
You are responsible for what you send. A memo going out under your firm's name is your work product, and your professional judgment governs it. Review every memo before it reaches a client.
Accuracy, and its limits
Every figure in a memo is computed from your source data and automatically checked against those computations. Where a figure cannot be traced back, the memo is flagged for you rather than presented as verified.
That check covers arithmetic and traceability. It does not verify that your underlying books are correct, that a figure is used in the right context, or that an interpretation is sound. Memos are generated in part by a language model and may contain errors of judgment or emphasis. Garbage in, garbage out still applies: a memo built on unreconciled books will be confidently wrong.
Your responsibilities
- Connect only QuickBooks companies you are authorized to access.
- Keep your login credentials secure and do not share your account.
- Review every memo before sending it to a client.
- Comply with the professional obligations and client confidentiality duties that apply to your practice.
- Do not attempt to disrupt, reverse engineer, or gain unauthorized access to the service.
Your data and your clients' data
You keep all rights to your data and your clients' data. We claim no ownership of it and do not use it to build products for anyone else. How we handle it is described in our Privacy Policy.
You keep the memos you generate and may use them with your clients however you wish.
QuickBooks connection
Connecting a QuickBooks company grants us read access through Intuit's official API. We read report and balance data only, and never write to your books. You can disconnect at any time in AdvisoryMemo or from within QuickBooks.
Your use of QuickBooks remains governed by your agreement with Intuit. We are not affiliated with or endorsed by Intuit, and we are not responsible for availability or changes to their service.
Billing
Paid plans are billed in advance through Stripe on the interval shown at checkout, and renew automatically until cancelled. Cancel any time from the billing page; access continues through the end of the period you have paid for.
We do not prorate refunds for partial periods. If something goes materially wrong on our end, email us — we would rather resolve it than argue about it.
We may change pricing with at least 30 days' notice by email. Price changes never apply retroactively to a period already paid for.
Availability
We do not offer a guaranteed uptime commitment. The service depends on providers including Intuit, Anthropic, and our hosting and database vendors, and an outage at any of them can interrupt it.
Keep copies of memos that matter to you rather than relying on us as your only record.
Termination
You can stop using the service and delete your account at any time. We may suspend or terminate an account that violates these terms, is used unlawfully, or has unpaid charges. If we terminate your account without cause, we will refund the unused portion of what you have paid.
Limitation of liability
To the fullest extent permitted by law, our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim.
We are not liable for indirect or consequential damages, including lost profits, lost business, or damage to client relationships. The service is provided "as is" without warranties of any kind.
Being plain about the intent: this is a drafting tool sold by one person. The professional responsibility for advice given to your clients stays with you, and this limit reflects that allocation.
Changes to these terms
We may update these terms. Material changes will be emailed to account holders before taking effect. Continuing to use the service after that means you accept the updated terms.
Governing law
These terms are governed by the laws of the State of California, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts located in California.
